Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Calibr website (usecalibr.io) and application (app.usecalibr.io), operated by Calibr ("Calibr", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Calibr is an AI-powered brand voice tool that rewrites text to match saved brand voice profiles. The Service is provided on a freemium basis:

•       Free tier: one (1) brand voice profile, five (5) rewrites per month, basic rewrite history (last 3 rewrites).

•       Pro tier: unlimited brand voice profiles, unlimited rewrites, full rewrite history, priority processing, at the current subscription price of USD $15 per month.

We reserve the right to modify features included in each tier at any time with reasonable notice to users.

2. Eligibility and Account Registration

•       You must be at least 18 years old to use the Service.

•       You must provide accurate and complete information when creating an account.

•       You are responsible for maintaining the security of your account credentials. You must notify us immediately at hello@usecalibr.io if you suspect unauthorized access to your account.

•       You may not create an account on behalf of another person without their authorization.

•       You may not create more than one account per person without our written permission.

•       We reserve the right to refuse registration or terminate accounts at our discretion.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

•       Submit content that is illegal, defamatory, obscene, harassing, or that infringes the intellectual property rights of any third party.

•       Use the Service to generate content intended to deceive, defraud, or mislead others.

•       Attempt to reverse engineer, decompile, or extract the source code of the Service.

•       Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable personal use.

•       Attempt to circumvent usage limits, billing systems, or access controls.

•       Share your account credentials with others or allow third parties to access your account.

•       Use the Service in any way that could damage, disable, or impair its functionality.

•       Submit personal data of third parties without their consent.

•       Use the Service to generate spam, phishing content, or malicious content of any kind.

Violation of these terms may result in immediate termination of your account without refund.

4. Intellectual Property

4.1 Your content: You retain full ownership of the text you submit to the Service and the brand voice profiles you create. By submitting content to Calibr, you grant us a limited, non-exclusive, royalty-free license to process that content solely for the purpose of providing the Service to you. We do not claim ownership of your content and do not use it to train AI models.

4.2 Output ownership: The rewritten text output generated by Calibr is yours. You own the output and may use it for any lawful purpose, including commercial use. Calibr makes no claim over the outputs generated from your use of the Service.

4.3 Calibr intellectual property: All rights, title, and interest in and to the Service, including the website, application, software, prompts, algorithms, design, logos, and brand identity, are owned by Calibr. These Terms do not grant you any rights to use the Calibr name, logo, or brand in any way.

4.4 Feedback: If you submit suggestions, ideas, or feedback about the Service, you grant us an irrevocable, perpetual, royalty-free right to use that feedback for any purpose without obligation to you.

5. Subscription, Billing, and Cancellation

5.1 Free tier: The Free tier is provided at no cost and is subject to the usage limits described in Section 1. We reserve the right to modify Free tier limits with 14 days notice.

5.2 Pro subscription: Pro subscriptions are billed monthly in advance at USD $15 per month. Subscriptions automatically renew each month unless cancelled.

5.3 Payment: Payments are processed by Stripe. By subscribing to Pro, you authorize Stripe to charge your payment method on a recurring monthly basis. You must keep your payment information current and accurate.

5.4 Cancellation: You may cancel your Pro subscription at any time from the Settings page in your account. Cancellation takes effect at the end of your current billing period. You will retain Pro access until that date. We do not provide partial refunds for unused portions of a billing period.

5.5 Refunds: We do not offer refunds except where required by applicable law, or in cases of billing errors. If you believe you have been charged in error, contact us at hello@usecalibr.io within 14 days of the charge.

5.6 Price changes: We reserve the right to change subscription pricing. We will notify active subscribers by email at least 30 days before any price change takes effect. Continued use of the Service after the new price takes effect constitutes acceptance of the new pricing.

5.7 Failed payments: If a payment fails, we will attempt to retry the charge. If payment cannot be collected, your account may be downgraded to the Free tier. You will be notified by email before any downgrade occurs.

6. Third-Party Services

The Service integrates with third-party services including Anthropic (AI processing), Stripe (payments), and Google Analytics (usage analytics). Your use of these services is also subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

Text you submit for rewriting is processed by Anthropic's Claude API. You agree not to submit content through Calibr that would violate Anthropic's usage policies.

7. Disclaimers and Limitations of Liability

7.1 Service provided as-is: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that the outputs generated will be accurate, appropriate, or suitable for your specific purposes.

7.2 AI output disclaimer: Calibr uses AI to generate rewritten text. AI outputs can be unpredictable. You are solely responsible for reviewing all outputs before use and for ensuring they are appropriate, accurate, and compliant with applicable laws and regulations. Calibr does not guarantee that outputs will match your brand voice perfectly or that they will be free of errors.

7.3 Limitation of liability: To the maximum extent permitted by applicable law, Calibr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

7.4 Aggregate liability cap: To the maximum extent permitted by applicable law, our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of (a) the total amount you paid to Calibr in the twelve months preceding the claim, or (b) USD $50.

7.5 Indemnification: You agree to indemnify, defend, and hold harmless Calibr and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

8. Service Availability and Modifications

•       We do not guarantee that the Service will be available at all times. We may experience downtime for maintenance, upgrades, or reasons outside our control.

•       We reserve the right to modify, suspend, or discontinue the Service or any part of it at any time. We will provide reasonable notice of material changes where possible.

•       We reserve the right to modify these Terms at any time. Material changes will be communicated to you by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

9. Termination

9.1 Termination by you: You may delete your account at any time from the Settings page. If you have an active Pro subscription, cancel it before deleting your account to avoid further charges.

9.2 Termination by us: We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine you have violated these Terms, engaged in fraudulent activity, or if we discontinue the Service. In cases of suspected fraud or serious violations, we may terminate without notice.

9.3 Effect of termination: Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Mexico, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Mexico City, Mexico, in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

11. General Provisions

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calibr regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.

Language: These Terms are written in English. Any translations are provided for convenience only. In the event of a conflict, the English version controls.
